1. The service
Crewbase lets users and organisations rent a team of AI agents that carries out their work, such as research, drafting, analysis and building. Where a deliverable needs a professional, a vetted human expert reviews it and signs it off before it is delivered ("gated deliverables").
The AI agents are powered by third-party AI model providers and share a memory of the customer's organisation to work in context.
2. Eligibility and account
You must provide accurate information when creating an account and are responsible for maintaining the confidentiality of your credentials.
You must be at least 18 years old or have legal capacity to enter into a contract in your jurisdiction. If you create an account for an organisation, you confirm that you are authorised to bind it to these Terms.
You are responsible for all activities performed under your account.
3. Plans, billing and charges
[FEES AND BILLING TERMS] — plans, prices and payment methods will be set out here when paid plans launch. Payments will be processed by Stripe and/or Mollie.
Paid plans renew automatically unless cancelled. You may cancel at any time, with cancellation taking effect at the end of the billing period.
We do not offer pro-rated refunds except where required by applicable law, including mandatory consumer protection rights.
Usage limits, quotas and pricing may change with reasonable notice.
EU consumer withdrawal rights
If you are a consumer located in the European Union, you may have the right to withdraw from this contract within 14 days of entering into it, without giving any reason, in accordance with applicable consumer protection laws.
However, where you expressly request that the service begins immediately and acknowledge that you will lose your right of withdrawal once the service has been fully performed, you consent to the immediate performance of the service and waive your withdrawal right to the extent permitted by law.
For digital services that are partially performed within the withdrawal period, you may be required to pay a proportionate amount for the services provided up to the point of withdrawal.
4. Acceptable use
You agree not to:
- use the service or your AI team for unlawful or harmful purposes;
- submit illegal, infringing or rights-violating content;
- harass, deceive or harm people, or use the service to produce spam or disinformation;
- attempt to reverse engineer or bypass system security, rate limits or usage limits;
- interfere with service integrity or availability;
- resell or commercially exploit the service without authorisation;
- upload malware or engage in abusive or fraudulent behaviour.
5. Your content, confidentiality and data rights
You retain ownership of all content you submit to Crewbase and of the deliverables your AI team produces for you ("Your Content").
You grant Crewbase a limited, non-exclusive licence to process, host and display Your Content solely for the purpose of providing and operating the service, including making it available to the human expert assigned to review a deliverable.
We treat Your Content as confidential. Human experts who review your work are bound by confidentiality obligations.
Where Crewbase acts as a data processor on behalf of business customers, processing is carried out strictly in accordance with the applicable data processing agreement and the documented instructions of the customer acting as data controller.
Crewbase does not use Your Content to train foundation models.
Platform intellectual property
All intellectual property rights in and to the Crewbase platform, including its software, agents, system architecture and underlying infrastructure, remain the exclusive property of UBGRADE Technologies Group LLC.
Nothing in these Terms grants you any ownership rights in the Crewbase platform, except for the limited rights necessary to use the service in accordance with these Terms.
6. AI output, human review and third-party providers
AI agents can make mistakes. Their outputs may be incomplete, inaccurate or out of date.
For gated deliverables, a vetted human expert reviews the work and signs it off before it reaches you. Expert sign-off covers the scope agreed for that deliverable; it reduces risk but does not guarantee that the output is free of errors.
Outputs that are not gated are provided for informational purposes only. You are responsible for independently verifying them before relying on them, and they do not constitute legal, financial or professional advice.
Crewbase integrates third-party AI models to run your agents; their processing is described in our Privacy Notice.
7. Service availability
We aim to provide reliable service but do not guarantee uninterrupted availability.
Maintenance, updates, or external dependency failures may result in temporary service interruptions.
8. Data processing and privacy
Personal data is processed in accordance with the Crewbase Privacy Notice. Crewbase acts either as a data controller for account and platform operations, or as a data processor when processing data on behalf of business customers under Article 28 GDPR.
No data is used for behavioural profiling or automated decision-making with legal or similarly significant effects.
9. Termination and data deletion
You may terminate your account at any time. We may suspend or terminate access if you materially breach these Terms, with notice where reasonable.
Upon termination, data is deleted or anonymised in accordance with our Data Retention & Deletion Policy.
Certain categories of personal data (such as system logs, security records and limited account metadata) may be retained after termination where necessary to comply with legal obligations, to ensure system security and integrity, or to establish, exercise or defend legal claims.
10. Disclaimers and liability
The Crewbase service is provided on an "as is" and "as available" basis. While we take reasonable measures to ensure the reliability and availability of the service, we do not warrant that it will be uninterrupted, error-free or fully secure at all times.
To the maximum extent permitted by applicable law, we disclaim all implied warranties, including warranties of fitness for a particular purpose, merchantability and non-infringement.
To the maximum extent permitted by law, our total liability arising out of or in connection with the service shall not exceed the total amount paid by you to Crewbase in the twelve (12) months preceding the claim. We are not liable for any indirect, incidental, consequential, special or punitive damages, including loss of data, loss of profits or business interruption.
Nothing in these Terms shall exclude or limit liability that cannot be lawfully excluded or limited under applicable law, including mandatory consumer protection rights.
11. Changes to the service and terms
We may update or modify these Terms from time to time to reflect changes in legal, technical, operational or business requirements.
Where changes are material, we will provide advance notice via email or in-app notification at least 30 days before the changes take effect.
Non-material changes, such as clarifications or improvements that do not materially affect your rights or obligations, may take effect immediately upon publication.
If you do not agree with the updated Terms, you may stop using the service and terminate your account before the effective date. Continued use of Crewbase after the effective date constitutes acceptance of the updated Terms.
12. Governing law and dispute resolution
In the event of any dispute, claim or controversy arising out of or relating to these Terms or the use of Crewbase, the parties agree to first attempt to resolve the matter through good-faith negotiations.
If the dispute is not resolved within 30 days of written notice by one party to the other, either party may proceed with formal legal action in accordance with the governing law and jurisdiction set out below.
These Terms are governed by the laws of Bulgaria and applicable European Union law. Where mandatory consumer protection laws apply, those laws shall prevail.
Disputes shall be resolved before the competent courts of Bulgaria unless otherwise required by law.
